The Commission announced the entry of an Order Instituting Public Administrative Proceedings, Making Findings and Imposing Remedial Sanctions against Joseph B. Johnson (Johnson), a resident of Van Meter, Iowa, who, prior to June 1995, was associated with a broker- dealer and an investment adviser registered with the Commission.
GOLD LOCKETS : The Order contains findings that, on May 3, 1996, Johnson pled guilty to a one count criminal information which charged Johnson with mail fraud. The Order also makes findings that on August 1, 1996, Johnson was sentenced to six months in prison and two years probation and ordered to make restitution of $215,000 to investors by the United States District Court for the Southern District of Iowa. In addition, the Order found that the criminal information upon which Johnson's criminal conviction was based stated that Johnson induced individuals to invest in purported business ventures, such as the recording and promotion of gospel music and the marketing of gold lockets, which, contrary to the representations made to investors, Johnson utilized for his own personal expenses or to make payments to other investors. In addition, the criminal information stated that on or about May 13, 1994, Johnson caused an envelope containing a notification of redemption of $12,000 in mutual fund shares to be sent via the mails from a mutual fund to an investor, the proceeds of which were then used by Johnson in the course of the scheme to defraud.
GOLD LOCKETS : The Commission's Order bars Johnson from association with any broker, dealer, investment adviser, investment company or municipal securities dealer. (Rel. Nos. 34-39097; IA-1667)COMPLAINT FILED AGAINST TERRY ONEIL CLIFFORD D/B/A DATASOURCE CONSULTINGGROUP The Commission announced that on September 17 it filed a complaint in U.S. District Court in Fort Worth, Texas, seeking a permanent injunction against Terry Oneil Clifford (Clifford), d/b/a DataSource Consulting Group. The Commission's complaint alleges that Clifford violated the antifraud provisions and the investment adviser registration provisions of the federal securities laws. In its complaint, the Commission alleges that, from in or about October 1993 through August 1996, Clifford raised approximately $1.8 million, primarily through the fraudulent sale of promissory notes, to approximately 74 investors. The Commission further alleges that Clifford falsely stated to investors that all of their funds would be invested in start-up companies, mutual funds, stocks, and/or commodities. Instead, the complaint alleges the mutual funds did not exist and that Clifford used investor funds for undisclosed purposes including to make principal and interest payments to earlier investors. Additionally, the Commission alleges that Clifford expended a sizeable portion of investor funds for his personal expenses. [SEC v. GOLD LOCKETS : The Commission granted approval to a proposed rule change and Amendment No. 1 thereto and accelerated approval of Amendment No.2 thereto submitted by the Pacific Exchange (SR-PCX-97-29) relating to the listing and trading of options on the Morgan Stanley Emerging Growth Index. Publication of the notice is expected in the Federal Register during the week of September 22. (Rel. 34-39087) The Options Clearing Corp. filed a proposed rule change (SR-OCC-97- 10) under Section 19(b)(1) of the Exchange Act that will allow OCC to issue, clear, and settle option transactions where the Mexican peso is either the trading currency or the underlying currency. The Commission has approved the proposed rule change subject to the Commission's final approval of the proposed rule change contained in File No. SR-PHLX-97-22.
